1. Agreement to Terms

Welcome to MedCrypt (also known as MedVault or HealthCrypt). These Terms of Service ("Terms") govern your access to and use of our medical practice management platform, including our website, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Important: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please read them carefully.

2. Eligibility

To use MedCrypt, you must:

  • Be a licensed healthcare professional (physician, nurse practitioner, physician assistant, etc.)
  • Be at least 18 years of age
  • Have the authority to enter into these Terms on behalf of yourself or your practice
  • Comply with all applicable laws and regulations, including HIPAA
  • Provide accurate and complete registration information

We reserve the right to verify your credentials and may request proof of licensure at any time.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing:

  • Your full name and email address
  • Medical license number and specialty
  • Practice or clinic information
  • A secure password meeting our requirements

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Using strong, unique passwords and enabling two-factor authentication

4. Acceptable Use Policy

4.1 Permitted Uses

You may use MedCrypt solely for:

  • Managing patient records and medical documentation
  • Processing prescriptions and medical orders
  • Scheduling and conducting virtual consultations
  • Analyzing medical data with AI assistance
  • Legitimate healthcare practice management activities

4.2 Prohibited Uses

You agree NOT to:

  • Violate any applicable laws, regulations, or professional standards
  • Infringe on intellectual property rights of MedCrypt or third parties
  • Use the Services for fraudulent, abusive, or illegal purposes
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Share your account credentials with unauthorized persons
  • Use the Services to spam, harass, or send unsolicited communications
  • Input false, misleading, or inaccurate patient information
  • Use automated scripts or bots without prior written consent

5. HIPAA Compliance and Data Protection

5.1 Business Associate Agreement

By using our Services to handle Protected Health Information (PHI), you acknowledge that:

  • MedCrypt acts as a Business Associate under HIPAA
  • A Business Associate Agreement (BAA) is incorporated into these Terms
  • We will comply with applicable HIPAA Privacy and Security Rules
  • You remain responsible for HIPAA compliance as a Covered Entity

5.2 Your HIPAA Responsibilities

As a healthcare provider, you agree to:

  • Obtain all necessary patient consents and authorizations
  • Use the minimum necessary PHI for your purposes
  • Implement appropriate safeguards in your practice
  • Report any suspected breaches or security incidents to us immediately
  • Comply with all HIPAA requirements applicable to Covered Entities

6. AI-Powered Features

6.1 AI Assistant and Analysis

Our AI-powered features (prescription OCR, medical insights, virtual assistant) are provided as tools to assist your clinical decision-making. You acknowledge that:

  • AI suggestions are for reference only and not medical advice
  • You retain full professional responsibility for all clinical decisions
  • You must verify all AI-generated content before relying on it
  • AI features may contain errors, inaccuracies, or outdated information
  • The AI does not replace your professional judgment or patient examination

6.2 AI Training and Improvement

We may use de-identified, aggregated data to improve our AI models. We will never use identifiable patient information for AI training without explicit consent and appropriate safeguards.

7. Third-Party Integrations

7.1 Google Services

When you connect your Google account for Calendar, Meet, or Drive integration:

  • You grant us permission to access the specific Google services you authorize
  • Your use of Google services is subject to Google's Terms of Service and Privacy Policy
  • You can revoke access at any time through your account settings
  • We store OAuth tokens securely and use them only for authorized purposes

7.2 Other Third-Party Services

We may integrate with other third-party services. Your use of such services is governed by their respective terms and privacy policies. We are not responsible for third-party services' actions or failures.

8. Intellectual Property Rights

8.1 Our Property

MedCrypt and its Services, including all software, designs, graphics, text, and trademarks, are owned by us or our licensors. You may not:

  • Copy, modify, distribute, or create derivative works from our Services
  • Use our trademarks or branding without written permission
  • Remove or alter any proprietary notices or labels

8.2 Your Content

You retain ownership of all data you input into the Services. By using our Services, you grant us a limited license to:

  • Store, process, and display your data to provide the Services
  • Create backups and ensure data redundancy
  • Use de-identified, aggregated data for analytics and improvements

This license terminates when you delete your data or close your account.

9. Fees and Payment

9.1 Subscription Fees

Access to certain features may require a paid subscription. You agree to:

  • Pay all fees according to your selected plan
  • Provide accurate billing information
  • Authorize automatic renewal unless you cancel before the renewal date
  • Pay any applicable taxes

9.2 Price Changes

We may change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

9.3 Refunds

Subscription fees are generally non-refundable except as required by law or at our discretion. If you believe you were charged in error, contact us within 30 days.

10. Termination

10.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination:

  • Your access to the Services will be immediately disabled
  • You remain responsible for any fees incurred before termination
  • You should export your data before termination (we retain data for 30 days)

10.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or applicable laws
  • You fail to pay fees when due
  • Your use poses a security risk or legal liability
  • You engage in fraudulent or abusive behavior
  • We discontinue the Services (with reasonable notice)

We will provide notice when possible and give you an opportunity to export your data.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Medical Disclaimer: MedCrypt is a practice management tool, not a medical device or diagnostic tool. It does not provide medical advice, diagnosis, or treatment. You are solely responsible for all clinical decisions and patient care.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DAMAGES CAUSED BY YOUR MISUSE OF THE SERVICES OR VIOLATION OF THESE TERMS
  • WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, SERVICES, OR CONTENT

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MedCrypt and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable laws
  • Your violation of any third-party rights, including HIPAA rights of patients
  • Your clinical decisions or patient care activities
  • Content you submit or actions you take through the Services

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at medcryptsoftware@gmail.com to attempt informal resolution. We will work in good faith to resolve disputes amicably.

14.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will take place in the United States, and the arbitrator's decision will be final and binding.

14.3 Class Action Waiver

You agree to arbitrate disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings. This waiver is an essential part of our arbitration agreement.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the United States and the state of Delaware, without regard to conflict of law principles.

15.2 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Continued use after changes constitutes acceptance of the new Terms.

15.3 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full effect.

15.4 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and MedCrypt regarding the Services.

15.5 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.6 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.
